Terms of Service
Movity — a product of Vision Cine X Inc.
Version 1.1 — March 2026
1. Acceptance of Terms
By accessing or using the Service (as defined below), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms form a binding agreement between you ("User", "you") and Vision Cine X Inc., a Delaware corporation ("Vision Cine X", "Company", "we", "us").
You must be at least 13 years old to use the Service. Users between 13 and 18 must have parental or guardian consent. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Definitions
"Service" or "Services" means the Movity platform, applications, website, APIs, and all related products, features, and offerings we provide, whether free or paid.
"Content" means any video, audio, image, text, metadata, or other material uploaded, submitted, or otherwise made available through the Service.
"User Content" means Content uploaded or submitted by you specifically.
"Creator" means a User who uploads and publishes Content on the Service.
"Viewer" means a User who accesses, streams, or interacts with Content on the Service.
"Subscription" means a recurring paid plan that unlocks additional features, storage, or monetization capabilities.
"Creator Program" means any monetization arrangement offered by Movity, including revenue sharing, paid channels, tipping, or fan subscriptions.
"Referral Program" means the program through which Users may invite others to join the Service and earn rewards based on referred users' activity, as described in Section 11.
"Workspace" means a shared organizational unit within the Service through which multiple Users may collaborate on Content under shared storage and management.
"Quota" or "Usage Quota" means a metered usage limit associated with your Subscription plan (e.g., storage capacity, compute minutes, analysis credits, bandwidth). Quotas reset on your account's monthly anniversary date unless otherwise specified.
"Mature Content" means Content that has been flagged as containing material suitable only for adult audiences (age 18 and older), including but not limited to graphic violence, explicit language, or sexual themes.
"Collaboration" means a credited attribution relationship between a Creator and another User, created when a Creator publishes Content that credits another User by role (e.g., cinematographer, director, colorist).
"Usage Data" means anonymized or aggregated technical telemetry about use of the Service (e.g., performance metrics, feature usage, diagnostics, and system logs). Usage Data does not include your videos, audio, or other User Content.
"AI Features" means any AI- or machine-learning-powered functionality provided through the Service, including auto-tagging, content analysis, visual search, recommendations, and metadata generation. AI Features do not include deterministic algorithmic processing such as scene detection, transcoding, thumbnail generation, or format conversion.
"Algorithmic Processing" means automated but non-AI functionality used to operate the Service, including scene detection, video transcoding, frame extraction, thumbnail generation, and format conversion. Algorithmic Processing runs automatically as part of standard Service operation and does not involve machine-learning inference.
"AI Output" means tags, labels, metadata, recommendations, or other results generated by AI Features in connection with your Content.
"Repeat Infringer" means a User who has received two or more valid DMCA takedown notices on content they uploaded, or who has been found to have a pattern of uploading infringing content.
"Beta Features" means preview, experimental, or early-access functionality identified as alpha, beta, labs, or similar.
3. Description of Service
Movity is a video hosting, streaming, and social platform for creative professionals and enthusiasts. Features include:
- Video upload, transcoding, hosting, and streaming.
- Social features including public profiles, follows, likes, comments, and activity feeds.
- Discovery features including curated feeds, search, and AI-powered recommendations.
- Creator tools including analytics, channel management, and audience engagement.
- Paid subscriptions and Creator Program monetization options.
- AI-powered tagging, metadata, and content organization.
- Workspaces for team and organizational collaboration.
We may update, add, or remove features from time to time. Some features are only available on certain subscription plans.
4. Accounts and Access
- You must provide accurate registration information and keep it up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- Only one personal account per person is permitted. Accounts may not be shared or transferred. Workspaces (described in Section 12) allow multiple Users to collaborate under a shared organizational unit and do not require separate accounts.
- You must notify us immediately at security@visioncinex.com if you suspect unauthorized access to your account.
- We reserve the right to reclaim usernames that are inactive, misleading, or in violation of these Terms.
5. User Content — Ownership and License
5.1 You Retain Ownership
You retain all ownership rights in your User Content. These Terms do not transfer ownership of your Content to us.
5.2 License to Vision Cine X
By uploading or submitting User Content to the Service, you grant Vision Cine X a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:
- Host, store, cache, transcode, and deliver your Content;
- Display, stream, and perform your Content to users on and through the Service;
- Create thumbnails, previews, and clips for interface and discovery purposes;
- Index and process your Content using automated systems, including AI Features and Algorithmic Processing;
- Use your Content in promotional contexts (e.g., featured videos, platform marketing) only with your express consent, which you may grant or revoke at any time in your account settings.
This license is in effect for as long as your Content remains on the Service and for a technically necessary period thereafter (e.g., backup rotation). It terminates when you delete the Content or close your account, subject to the retention provisions of Section 16.
5.3 License to Other Users
By making your Content publicly available on the Service, you grant other users a limited, non-exclusive, non-transferable license to view and stream your Content through the Service's standard playback interface. This does not grant any right to download, copy, redistribute, or use your Content outside the Service unless you explicitly enable such permissions (e.g., by enabling a download option or embedding).
5.4 Your Representations
By uploading Content, you represent and warrant that:
- You own or hold all necessary rights, licenses, clearances, and permissions to upload, publish, and license the Content as described herein;
- The Content is work you personally contributed to in a professional capacity (e.g., as a director, cinematographer, editor, colorist, VFX artist, sound designer, or producer). Uploading work you had no creative role in is not permitted, even if that work is publicly available elsewhere;
- Your Content does not infringe any copyright, trademark, right of publicity, privacy right, or other third-party right;
- You have obtained all necessary sync licenses, master licenses, and performance rights for any music contained in your Content;
- Your Content complies with all applicable laws and these Terms.
5.5 Downloads
Where the Service makes a download option available for Content (either through Creator-enabled settings or share link permissions), the following terms apply:
- Downloaded Content remains subject to the license terms under which it was made available. Downloading does not grant any ownership or additional rights beyond viewing for personal, non-commercial use unless the Creator has explicitly granted broader permissions.
- You may not redistribute, sublicense, publicly perform, or commercially exploit downloaded Content without express authorization from the rights holder.
- Download availability may vary by Subscription plan and is subject to bandwidth limits applicable to your account.
- We may restrict or disable downloads if your account exceeds applicable bandwidth quotas.
5.6 Embedding
All publicly published Content on the Service has embedding enabled by default. Creators may disable embedding for their Content at any time through their account settings. If you embed Movity Content on a third-party site:
- The embed must use our official embed player. You may not extract, re-host, or modify the underlying media files.
- Embedded Content remains subject to these Terms. If the Creator removes, makes private, restricts, or disables embedding for their Content, the embed will cease to function.
- You may not embed Content on sites that promote hate speech, illegal activity, or content that violates these Terms.
- We reserve the right to disable embedding for any Content or account at any time.
- Embedded Content may display Movity branding and a link to the original Content on the Service. You may not remove or obscure this branding.
5.7 Collaborations and Credits
When a Creator publishes Content that credits another User (a "Collaboration"), the credited User may receive a notification and the option to accept or decline the attribution. Accepted Collaborations may appear on the credited User's public profile.
- Collaboration invitations do not transfer any ownership or licensing rights to the credited User.
- Credited Users may decline or remove Collaborations at any time.
- Creators are solely responsible for ensuring that credits are accurate and that credited individuals have consented to being associated with the Content.
- Disputes regarding attribution should be resolved between the parties involved. We are not responsible for the accuracy of credits.
6. Copyright and DMCA
Because Movity is a public video hosting and social platform, copyright compliance is a core responsibility of every User. We take intellectual property seriously and operate a notice-and-takedown system as required by the U.S. Digital Millennium Copyright Act ("DMCA"). Our DMCA Designated Agent is registered with the U.S. Copyright Office under registration number DMCA-1070694.
6.1 Prohibited Infringing Uploads
You may not upload Content that:
- Reproduces, distributes, or publicly performs any copyrighted work (including films, TV shows, music videos, recorded music, sports broadcasts, photographs, or written works) without authorization from the rights holder;
- Contains copyrighted music, soundtracks, or audio recordings for which you do not hold a valid sync and master license;
- Copies or re-uploads third-party content you did not create, even if it was previously available online;
- Circumvents or removes technical protection measures (TPMs) on copyrighted content.
Uploading a brief excerpt, adding commentary, or claiming "fair use" does not guarantee your content is permissible. You are solely responsible for obtaining appropriate rights clearances before uploading.
6.2 DMCA Takedown Notices
If you are a copyright owner (or authorized agent) and believe Content on the Service infringes your copyright, you may submit a written takedown notice to our designated DMCA Copyright Agent:

Your notice must include all of the following, under penalty of perjury:
- Identification of the copyrighted work(s) you claim have been infringed;
- Identification of the allegedly infringing material on the Service, with sufficient detail for us to locate it (e.g., URL);
- Your name, address, telephone number, and email address;
- A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law;
- A statement that the information in the notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner;
- Your physical or electronic signature.
We will process valid notices promptly and remove or disable access to the identified material.
6.3 Counter-Notices
If you believe your Content was removed in error (e.g., you hold the necessary rights or believe your use is non-infringing), you may submit a counter-notice to dmca@visioncinex.com including:
- Identification of the removed Content and its location before removal;
- A statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification;
- Your name, address, telephone number, and consent to the jurisdiction of the federal court for your district;
- Your physical or electronic signature.
Upon receipt of a valid counter-notice, we will forward it to the original complainant. If the complainant does not file a court action within 10–14 business days, we may restore the Content at our discretion.
Submitting a false or bad-faith takedown notice or counter-notice may expose you to legal liability.
6.4 Repeat Infringer Policy
In accordance with the DMCA, Vision Cine X maintains a Repeat Infringer Policy. We will terminate the accounts of Users who are determined to be Repeat Infringers. We define a Repeat Infringer as any User who:
- Receives two or more valid, uncontested DMCA takedown notices on Content they uploaded; or
- Is otherwise found to have a pattern of uploading infringing Content.
We may, at our discretion, terminate such accounts with or without prior warning. Terminated Repeat Infringers may not create new accounts.
6.5 Automated Content Recognition
We may implement automated content recognition technology (such as audio fingerprinting or video matching) to detect potentially infringing Content at upload or after publication. If your Content matches a third-party rights holder's registered work, we may:
- Block, mute, or restrict your Content automatically;
- Redirect any applicable monetization to the rights holder;
- Provide you with notice and an opportunity to dispute the match through our platform tools.
Automated matches are not a substitute for proper rights clearances before uploading.
6.6 Trademark Complaints
If you believe Content on the Service infringes your trademark rights, please contact legal@visioncinex.com with a description of the mark, the allegedly infringing Content, and your contact information. We handle trademark complaints on a case-by-case basis.
7. Prohibited Content
7.1 General Prohibitions
In addition to the copyright restrictions in Section 6, you may not upload, post, or share Content that:
- Depicts child sexual abuse material (CSAM) or the sexual exploitation of minors. We report all known CSAM to the National Center for Missing and Exploited Children (NCMEC) and cooperate with law enforcement;
- Promotes, glorifies, or facilitates terrorism, mass violence, or hate crimes;
- Constitutes hate speech targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin;
- Depicts or facilitates non-consensual intimate imagery ("revenge porn");
- Contains unsolicited explicit sexual content. The Service supports age-gated Mature Content for verified adult users (18+). Content containing graphic violence, explicit language, or sexual themes must be flagged as Mature Content by the Creator at the time of upload. Failure to properly flag Mature Content is a violation of these Terms;
- Constitutes harassment, threats, or targeted abuse of any individual;
- Contains malware, phishing content, or deceptive material designed to harm users;
- Violates any applicable law or regulation.
Violations may result in immediate content removal, account suspension, permanent termination, and/or reporting to relevant authorities.
7.2 Mature Content
The Service permits certain Content to be designated as Mature Content, subject to the following conditions:
- Creator obligation to flag: You must flag your Content as Mature Content at the time of upload if it contains material suitable only for adult audiences. We may also flag Content as Mature Content based on our own review or automated detection.
- Age verification: Users must be at least 18 years old to access Mature Content. Age is verified based on the date of birth provided during account registration. Providing a false date of birth to circumvent age restrictions is a violation of these Terms.
- Absolute prohibition: Mature Content does not include, and may never contain, child sexual abuse material, non-consensual intimate imagery, or content depicting the sexual exploitation of minors. Such content is absolutely prohibited and will be reported to authorities.
- Monetization restrictions: We may restrict or prohibit the monetization of Mature Content through the Creator Program at our discretion.
- Mislabeling consequences: Repeatedly failing to flag Mature Content, or deliberately mislabeling Content to bypass age restrictions, may result in content removal, account suspension, or termination.
8. Social Features
8.1 Comments, Likes, and Follows
The Service allows you to comment on, like, bookmark, and follow other users' profiles and Content. You agree that your use of social features will be respectful and lawful.
8.2 Community Standards
You may not use social features to:
- Spam, harass, bully, threaten, or impersonate other users;
- Artificially inflate engagement metrics (likes, views, followers) through bots, coordinated inauthentic behavior, or purchased activity;
- Coordinate targeted harassment campaigns against any individual or group;
- Post misinformation or deliberately deceptive content intended to mislead viewers.
8.3 Content Moderation
We reserve the right (but not the obligation) to review, remove, or restrict any Content or interaction that violates these Terms or our Community Guidelines. We may use automated tools and human review to enforce our policies. We are not responsible for User Content or the conduct of other users.
9. Subscription and Payment Terms
Plans and Billing. Subscriptions are billed monthly or annually in advance and auto-renew until canceled. By starting a subscription, you authorize us (or our payment processor) to charge the then-current subscription price to your payment method at each renewal.
Taxes. Prices are exclusive of taxes. Any applicable VAT, GST, sales, or similar taxes may be charged in addition to the listed price based on your billing details and applicable law.
Payment Processing. We use third-party payment processors (e.g., Stripe) to process payments. You authorize such processors to charge your payment method, and you agree to their applicable terms. We do not store full payment card numbers.
Price Changes. We may change prices by providing at least 30 days' notice before the next renewal. If you do not agree to a price change, you may cancel before it takes effect; otherwise, continued use after the effective date constitutes acceptance.
Cancellations. You may cancel at any time in your account settings. No prorated refunds are provided; your prepaid access continues until the end of the current billing period, after which your subscription will not renew.
Refunds. We do not provide prorated refunds for unused time. Refunds are available only if you cancel within 3 days of your initial subscription purchase and have not used any plan-specific features or allowances. Except where required by law, all refunds are at our sole discretion. Repeated or abusive refund requests may be denied.
Chargebacks and Billing Disputes. If you initiate a chargeback, we may suspend your account pending resolution. Please contact support@visioncinex.com to resolve billing issues; disputed amounts must be brought to our attention within 60 days of the charge.
Corrections. We may correct billing errors or mistakes (including refunds or additional charges) even after a charge has already been processed.
Free Trial. If we offer a free trial, the specific trial duration and terms will be presented at the time of signup. At the end of a free trial, your account will be charged the applicable subscription fee unless you cancel before the trial period expires. Free trials are limited to one per person.
Usage Quotas. Each Subscription plan includes specific Usage Quotas for storage, compute minutes, analysis credits, bandwidth, and other metered resources. Current quotas for each plan are displayed on our pricing page and in your account dashboard. Quotas are subject to change; we will provide at least 30 days' notice before reducing quotas for your current plan.
Quota Resets. Most Usage Quotas (compute minutes, analysis credits, bandwidth) reset monthly on your account anniversary date. Daily quotas (such as search limits) reset at midnight UTC. Bonus credits earned through referrals or promotions are added to a non-resetting pool and are consumed before monthly quotas.
Exceeding Quotas. If you exceed a Usage Quota: storage uploads are blocked until you reduce usage or upgrade; compute job processing is blocked until the next reset or upgrade; AI analysis is paused until the next reset or upgrade; bandwidth overages may reduce streaming quality or temporarily restrict delivery; and search may be temporarily disabled until the next daily reset. We do not charge overage fees — exceeding quotas results in temporary feature restrictions, not additional charges.
Downgrade and Grace Period. If you cancel or downgrade to a lower-tier plan, your paid features remain available until the end of the current billing period. After that, your account reverts to the lower plan's quotas and feature set. If your stored Content exceeds the storage quota of your new plan, your account enters a 30-day grace period during which new uploads are blocked, but all existing Content remains accessible. During the grace period, you may download, export, or delete Content to bring your usage within the new plan's limits. If your storage still exceeds the new plan's limit after the grace period, we may delete Content starting with the oldest items until your usage is within limits. We will provide notice before any such deletion.
10. Creator Program and Monetization
10.1 Eligibility
Participation in any Creator Program is subject to eligibility requirements, which may include:
- Maintaining an account in good standing with no unresolved copyright strikes;
- Meeting minimum referral thresholds (e.g., 30 referrals for Earning System eligibility) or other activity requirements;
- Providing valid tax documentation (e.g., W-9 for U.S. persons, W-8BEN for non-U.S. persons);
- Complying with all applicable laws and these Terms.
We reserve the right to approve or deny participation in our sole discretion.
10.2 Copyright Compliance is Required for Monetization
You may not monetize Content through any Creator Program if that Content contains third-party copyrighted material for which you do not hold the appropriate licenses. This includes background music, sound effects, film clips, photographs, or any other copyrighted elements. Attempting to monetize infringing Content may result in immediate removal from the Creator Program and termination of your account.
10.3 Revenue Sharing
If you are enrolled in a revenue sharing program, applicable rates, payout thresholds, and payment schedules are set forth in the Creator Program terms, which are incorporated herein by reference. Revenue share rates and program terms may change with reasonable notice.
10.4 Taxes on Creator Earnings
You are solely responsible for all taxes arising from your Creator Program earnings. We may require you to submit applicable tax information (e.g., W-9 or W-8BEN) before payouts are processed. We may withhold amounts required by law.
10.5 Suspension or Termination of Creator Program
We may suspend or terminate your participation in any Creator Program at any time if you violate these Terms, the Creator Program terms, or any applicable law, or if we discontinue the program.
10.6 Collaborations and Attribution
Creators may credit other Users on published Content by role (e.g., director, cinematographer, colorist, editor). Credited Users receive a notification and may accept or decline the attribution. Accepted Collaborations appear on the credited User's public profile and may contribute to their discoverability on the platform.
Collaborations do not entitle the credited User to any share of revenue generated by the Content unless a separate written agreement exists between the parties. We are not a party to any revenue-sharing or attribution agreement between Users.
10.7 Staff Picks and Editorial Features
We may, at our sole discretion, feature Content as a "Staff Pick" or in editorial selections, curated feeds, or promotional materials within the Service. Selection as a Staff Pick does not create any ongoing obligation, entitlement to compensation, or guarantee of continued featuring. We may remove Content from editorial features at any time.
11. Referral Program
11.1 Overview
Movity offers a Referral Program that allows Users to invite others to join the Service. Referrers may earn rewards when referred Users complete qualifying actions. Participation in the Referral Program is subject to these Terms.
11.2 Referral Codes
Each eligible User may generate a unique referral code through the Service. Referral codes are alphanumeric, 4–12 characters in length, and unique to your account. You may share your referral code through any lawful channel. You may not purchase advertising for your referral code using Movity's brand name or trademarks without our written permission.
11.3 Qualifying Actions and Rewards
Referrers may earn rewards when a referred User completes qualifying actions, such as signing up, publishing their first item, or subscribing to a paid plan. Referred Users may also receive a signup bonus.
Current qualifying actions, associated rewards, and milestone bonuses are published in the Referral Program page within the Service and in your account dashboard. These details are kept current there rather than in these Terms, as reward amounts, milestones, and qualifying actions may change from time to time.
Reward types, amounts, milestone thresholds, and qualifying actions are subject to change at our discretion. We will communicate material changes through the Service. Changes do not affect rewards already credited to your account.
11.4 Free Month Rewards
Free months earned through referrals are based on the Creator tier monthly price at the time of the qualifying event and are applied as billing credits. You may earn a maximum of 12 free months per calendar year through the Referral Program. Free months have no cash value and are non-transferable.
11.5 Earning System
Users who reach 30 cumulative referrals may become eligible for the Earning System, which provides access to additional monetization features. Earning System eligibility, once granted, is not revoked solely due to subsequent changes in referral count. Earning System terms are further described in the Creator Program section.
11.6 Reward Expiration
- Analysis credits and compute minutes earned through referrals are added to a non-resetting bonus pool that does not expire, but may be forfeited upon account termination.
- Bonus storage earned through milestones expires one year from the date each milestone is achieved.
- Free months must be applied within 12 months of being earned. Unapplied free months expire after 12 months.
11.7 Anti-Fraud and Abuse
The following are prohibited and may result in forfeiture of all referral rewards and account termination:
- Self-referrals (using your own referral code on an account you control);
- Creating multiple accounts to exploit the Referral Program;
- Using disposable, temporary, or fraudulent email addresses in connection with referrals;
- Automated, scripted, or bot-driven referral activity;
- Misrepresenting the Service or its benefits to induce signups;
- Any other activity we reasonably determine to be fraudulent, deceptive, or in bad faith.
We may investigate suspected abuse and, in our sole discretion, void pending or credited rewards, suspend referral privileges, or terminate accounts involved in abuse.
11.8 Tax Responsibility
Referral rewards may constitute taxable income depending on your jurisdiction. You are solely responsible for determining and fulfilling any tax obligations arising from rewards earned through the Referral Program.
11.9 Modification or Termination
We may modify, suspend, or terminate the Referral Program at any time. Rewards already credited to your account before such changes will be honored, subject to their stated expiration terms and your compliance with these Terms.
12. Workspaces and Teams
12.1 Overview
The Service allows Users to create and join Workspaces — shared organizational units for collaborative Content management. The number of Workspaces you may create depends on your Subscription plan.
12.2 Roles and Permissions
Workspaces support the following roles:
- Owner: Full administrative control, including the ability to delete the Workspace, manage members, and transfer ownership.
- Admin: Can manage members, libraries, and content within the Workspace. Cannot delete the Workspace or transfer ownership.
- Member: Can access and contribute to libraries and content within the Workspace as permitted by the Owner or Admin.
The Workspace Owner is the User who created the Workspace. Ownership may be transferred to another member, but every Workspace must have exactly one Owner at all times.
12.3 Content Ownership in Workspaces
Content uploaded to a Workspace-owned library is owned by the individual User who uploaded it, not by the Workspace or its Owner. The User who uploads Content is solely responsible for ensuring that Content complies with these Terms, including copyright and licensing requirements.
When a User leaves or is removed from a Workspace, Content they uploaded to Workspace libraries remains in the Workspace unless the User and Workspace Owner agree otherwise. The departing User retains ownership of their Content but grants the Workspace a continued license to host and display it as part of the Workspace's libraries, consistent with the license in Section 5.2.
12.4 Workspace Deletion
If a Workspace is deleted by its Owner, all Workspace-owned libraries and their contents are permanently deleted, subject to the retention provisions of Section 16. Members should export any Content they wish to retain before a Workspace is deleted.
12.5 Workspace Owner Responsibility
The Workspace Owner is responsible for:
- Ensuring that all members comply with these Terms;
- Managing access permissions and security settings;
- Responding to any copyright or legal complaints related to Workspace content;
- Configuring sharing and download permissions for Workspace libraries.
If a Workspace Owner's account is terminated for a violation of these Terms, the Workspace may be suspended or deleted. We will make reasonable efforts to notify other Workspace members and provide a limited period to export their own Content.
13. AI Features
- AI Features (such as auto-tagging, content analysis, visual search, and metadata generation) may not always be accurate. You must review AI Output before relying on it for commercial or professional purposes. Separate from AI Features, the Service uses Algorithmic Processing (such as scene detection, transcoding, and thumbnail generation) as part of standard operations — this processing is deterministic and does not involve machine-learning models.
- Vision Cine X does not train AI models on your Content without your explicit opt-in consent. Automated processing for delivery, indexing, tagging, and recommendations is a standard part of Service operation and is distinct from model training.
- As between you and us, you own the AI Output generated for your account, subject to your compliance with these Terms. AI Output may not be unique and could be similar to output generated for other users.
- Visual search. The Service may allow you to search for visually similar Content by uploading a reference image. This feature uses AI-generated embeddings and is subject to the same accuracy limitations as other AI Features.
- Disclosure of AI-generated Content. If you upload Content that was substantially generated by artificial intelligence, you are encouraged to disclose this in the Content's metadata or description. We may require such disclosure in the future and reserve the right to label AI-generated Content on the Service.
- Prohibited AI uses include: creating deepfakes or misusing third-party likenesses without consent; generating content that is unlawful, abusive, hateful, or harmful; or using AI Output to deceive or mislead viewers about the origin of Content.
- AI-generated Content — meaning Content where the core creative output was produced by an AI prompt rather than crafted by a human — is not permitted on the Service. The use of AI-assisted tools within a traditional production pipeline (such as denoising, upscaling, rotoscoping, color matching, or VFX compositing) is permitted, provided that a human creative vision is driving the work.
14. Acceptable Use and Restrictions
You may not:
- Upload, host, stream, or distribute pirated films, TV shows, copyrighted music recordings, sports broadcasts, or any copyrighted content you do not have the right to distribute;
- Use automated bots, scrapers, or crawlers to access the Service without our express written permission;
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except where such restrictions are prohibited by law;
- Upload malware, engage in phishing, or attempt to compromise the security of the Service or other users;
- Use the Service in a manner that generates disproportionate load, disrupts infrastructure, or interferes with other users' access;
- Impersonate any person, organization, or brand, or misrepresent your affiliation;
- Use the Service to solicit, collect, or harvest other users' personal information without consent;
- Use the Service if you are located in, organized under the laws of, or ordinarily resident in any country subject to a U.S. government embargo (including Cuba, Iran, North Korea, Syria), or if you are on a U.S. denied or restricted parties list.
Violations may result in content removal, account suspension, or permanent termination.
15. Fair Use of Resources
Excessive bandwidth, storage, or API use that materially exceeds typical platform usage may be deemed abusive. We may rate-limit, restrict, or terminate accounts that create unreasonable operational load or costs, regardless of plan tier.
16. Data Retention and Deletion
- Free accounts: Content may be deleted if the account is inactive for 12 or more consecutive months, with prior notice.
- Paid accounts: Upon cancellation, Content remains accessible until the end of the paid period. A deletion buffer of up to 30 days then applies, after which Content is permanently deleted.
- Termination for violations: Content may be removed immediately, without a buffer period.
- After applicable retention periods, Content is permanently deleted from active systems and subsequently purged from backups as they cycle out.
- We maintain automated backups through reputable cloud providers (e.g., AWS, Cloudflare). Backups are used solely for disaster recovery and continuity.
17. Privacy and Data Protection
Our data practices are described in our Privacy Policy.
Commitments:
- We do not sell your personal data.
- Primary storage and processing infrastructure is hosted through reputable cloud providers including Cloudflare (global edge network), Google Cloud Platform (Asia-Pacific and U.S. regions), and Supabase (managed PostgreSQL). Data may be stored and processed in multiple regions to ensure performance and reliability. Specific data residency commitments, if applicable, are described in our Privacy Policy.
- AI vendors are contractually barred from training on your Content.
- You may delete your data at any time.
We rely on vetted third-party sub-processors to deliver parts of the Service. We maintain a current sub-processor list available on request or on our website and will provide notice of material changes as described in our Privacy Policy.
Our use of cookies, web beacons, and similar tracking technologies is described in our Cookie Policy, which is incorporated into these Terms by reference.
18. Security and Incident Notice
We implement commercially reasonable technical and organizational measures to protect the Service and your Content. You are responsible for safeguarding your credentials and configuring sharing settings appropriately.
If we become aware of unauthorized access to personal data in your account, we will notify you without undue delay, consistent with applicable law.
If you discover a security vulnerability, please report it responsibly to security@visioncinex.com. Do not exploit or publicly disclose the issue before we have a reasonable opportunity to address it.
Law Enforcement and Legal Requests. We may disclose your information, including User Content, to law enforcement or government authorities if required by a valid subpoena, court order, or other legal process, or if we believe in good faith that disclosure is necessary to prevent imminent harm, protect the rights or safety of any person, or comply with applicable law. Where permitted by law, we will notify you of such requests.
19. Third-Party Services and Beta Features
Some features may rely on third-party services. Their availability is subject to those providers' terms and uptime; we are not responsible for interruptions or changes outside our control.
Beta or experimental features are provided "as is" and may be modified, suspended, or discontinued at any time.
You may provide ideas, suggestions, or feedback ("Feedback"). You grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use the Feedback to develop and improve the Service without any obligation to you.
Open Source Software. The Service incorporates open-source software components, which are used in accordance with their respective license terms. A list of material open-source components and their licenses is available upon request at legal@visioncinex.com.
20. Disclaimers and Limitations
Disclaimers. The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted or error-free operation, that the Service will meet your requirements, or that AI Features will produce accurate or unique results.
Limitations of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER VISION CINE X NOR ITS SUPPLIERS OR AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. These limits apply even if a remedy fails of its essential purpose.
21. Indemnification
You agree to indemnify and hold Vision Cine X and its affiliates, officers, directors, employees, and agents harmless from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your User Content or use of the Service that infringes any intellectual property right or violates any law;
- Any claim by a third-party rights holder that your Content infringes their copyright, trademark, or other rights;
- Your breach of these Terms;
- Your participation in any Creator Program or Referral Program, including disputes regarding earnings or tax obligations;
- Misuse of social features, including harassment or coordinated inauthentic behavior.
22. Termination
You may deactivate your account at any time through account settings. Content will be deleted subject to the retention periods in Section 16.
We may suspend or terminate your account or access to the Service, with or without notice, if:
- You violate these Terms or our Community Guidelines;
- You are determined to be a Repeat Infringer under Section 6.4;
- You repeatedly upload Content that violates quality standards, misrepresents credits, or does not meet the originality requirements of the Service, resulting in loss of verification status;
- You use the Service for unlawful purposes;
- You engage in abusive, threatening, or rude conduct toward our team or other users;
- Your free account is inactive for a prolonged period;
- We determine, in our reasonable discretion, that continued service would pose a risk, cause harm, or otherwise not be in the best interest of the Service, the Company, or our community.
Upon termination, your right to use the Service ceases immediately. Content will be handled per Section 16.
23. Survival
The following sections survive termination: Content Ownership and License (with respect to Content already licensed to other users), Copyright and DMCA, Disclaimers and Limitations, Indemnification, Dispute Resolution and Governing Law, and Survival itself.
24. Dispute Resolution and Governing Law
Governing law. These Terms are governed by Delaware law, excluding its conflict-of-laws rules.
Arbitration (U.S. users). Disputes must be resolved by binding arbitration in San Francisco, California, under AAA rules; small-claims court remains available for eligible claims.
Class action and jury trial waiver. To the extent permitted by law, disputes are conducted only on an individual basis and not as a class action or representative proceeding, and you waive any right to a jury trial. If any portion of this provision is found unenforceable, the remainder shall remain in full force.
Non-U.S. users. Local consumer protection rights still apply where required by applicable law.
25. Electronic Communications
Electronic Communications Consent. By using the Service, you consent to receiving electronic communications from us, including emails, in-app notifications, and push notifications. These communications may include transactional messages (e.g., receipts, password resets, security alerts), service updates, and, where you have opted in, promotional messages. You may manage your communication preferences in your account settings. Transactional communications necessary for the operation of the Service cannot be opted out of while your account is active. Electronic communications satisfy any legal requirement that such communications be in writing.
26. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, infrastructure failures, cyberattacks, labor disputes, acts of government, or widespread internet outages.
27. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. If a provision is partly unenforceable, it will apply to the maximum extent permitted by law.
28. Entire Agreement and No Waiver
These Terms constitute the entire agreement between you and us regarding the Service and supersede prior or contemporaneous agreements on the subject. A party's failure to enforce a provision is not a waiver.
29. Changes to Terms
We may update these Terms as the Service evolves. Material changes will be communicated by email, in-app notice, or website update with at least 14 days' notice before taking effect. Continued use of the Service after the effective date constitutes acceptance.
30. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms (in whole or in part) in connection with a merger, acquisition, corporate reorganization, or sale of assets.
31. Notices
We may provide notices by email, in-app messages, or by posting within the Service. You agree to receive notices electronically.
